Media Licensing & Distribution Agreement

Governs terms under which Pluggedspace LTD and Duomachina act as distributor, production partner, festival exhibitor, or licensing agency for creator media.

1. Agency & Distribution Scope

Through our Studio and Festival divisions, **Pluggedspace LTD** actively curates, co-produces, and licenses exceptional African creative works—including documentaries, narrative cinema, audio podcasts, and photography exhibitions—to international broadcasters, streaming services, cultural institutions, and airline entertainment systems. This agreement applies whenever a creator explicitly elects into our **Curated Distribution & Syndication Program** via an individual Studio Distribution Rider or Festival Acceptance Agreement.

2. Licensing Categories & Rights Granted

Depending on the specific deal terms executed between the creator and Pluggedspace LTD, licenses may be categorized as: - **Non-Exclusive Digital Syndication:** The creator grants Duomachina non-exclusive rights to syndicate content to external partner platforms (e.g. streaming networks, digital newsstands). The creator remains free to license elsewhere. - **Festival & Exhibition Screening Rights:** Grants Duomachina the right to publicly screen the film or artwork at official Duomachina Festival events, partner summits, and cultural pop-ups worldwide. - **Brand Licensing & Synchronization:** Authorizes Duomachina to pitch creator music, soundscapes, or visual art for commercial advertising, film scoring, or corporate collaborations, subject to pre-agreed royalty splits.

3. Licensing Royalties & Transparent Accounting

For external syndication and distribution deals brokered by Pluggedspace LTD: - The agreed revenue share (customarily **70% to 80%** to the creator, with Duomachina retaining a 20% to 30% distribution/agent commission) will be detailed in the project-specific rider. - Payouts are reconciled and accompanied by transparent quarterly or semi-annual royalty statements detailing gross licensing receipts, withholding taxes, and net disbursements.

4. Chain of Title & Clearance Obligations

For any work submitted for external distribution or festival exhibition, the creator guarantees a clean **"Chain of Title"**: - All necessary synchronization licenses for music, actor releases, location releases, and archival footage permissions must be secured in writing; - The creator must provide proof of clearances upon request prior to international distribution.

5. Term & Territory

Unless specified otherwise in a project schedule: - **Territory:** Worldwide (or specified continental/regional territories); - **Term:** Typically one (1) to three (3) years, renewable by mutual written consent, with clear windowing periods for theatrical or festival debuts.
