Welcome to Duomachina. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and **Pluggedspace LTD** ("Pluggedspace", "we", "us", or "our"), governing your access to and use of duomachina.com, our media archives, editorial publications, video/audio players, digital stores, and related creative services (collectively, the "Platform"). By registering an account, purchasing digital or physical media, uploading content, or browsing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our incorporated Privacy Policy. If you do not agree, you must immediately cease using the Platform.

You must be at least 13 years old (or 16 in the European Economic Area) to use the Platform. If you are under 18 (or the age of majority in your jurisdiction), you may only use the Platform with the verifiable consent and supervision of a parent or legal guardian. When creating an account: - You must provide accurate, current, and complete registration details. - You are solely responsible for maintaining the confidentiality of your credentials. - You accept full responsibility for all activities that occur under your account. - You must immediately notify **security@duomachina.com** of any unauthorized access or breach.

Subject to compliance with these Terms, Duomachina grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and view public and purchased media, digital magazine issues, and editorial publications for personal, non-commercial cultural enrichment. Except as expressly authorized in writing by Pluggedspace LTD or relevant rights-holders, you may not: - Sublicense, resell, rent, lease, or commercially exploit any content or platform functionality; - Reverse engineer, decompile, or disassemble any part of the website or underlying media pipeline; - Circumvent digital rights management (DRM), paywalls, or stream encryption mechanisms; - Deploy automated crawlers, scrapers, or bots without explicit prior written authorization.

All purchases made on the Platform—including magazine issues, archival access, physical merchandise, and recurring memberships—are subject to our **Refund, Billing & Subscription Policy**. - **Pricing & Currency:** Prices are listed in Nigerian Naira (NGN) and/or United States Dollars (USD), exclusive of applicable local taxes, VAT, or banking conversion fees. - **Payment Processing:** Transactions are fulfilled via Flutterwave. By submitting payment details, you authorize Pluggedspace LTD to charge the agreed amount. - **Digital Asset Delivery:** Digital magazines, films, and assets are made available immediately upon payment confirmation. Due to the immediate delivery nature of digital media, sales of downloadable or instantly streamable items are non-refundable except as required by applicable consumer protection laws.

Users must strictly adhere to our **Acceptable Use Policy** and **Community Guidelines**. Prohibited conduct includes: - Uploading malicious code, viruses, trojans, or attempting denial-of-service (DDoS) attacks; - Impersonating any creator, journalist, cultural figure, or Duomachina representative; - Engaging in hate speech, harassment, defamation, or promoting violent extremism; - Infringing upon the copyright, patent, trademark, or moral rights of any African artist, writer, or third party; - Manipulating play counts, engagement metrics, or comment reactions through automated scripts.

The Duomachina brand, logos, visual identity, software code, UI designs, and editorial productions created directly by Pluggedspace LTD are protected under the **Copyright Act 2022 of Nigeria** and international intellectual property conventions. Creators retain full ownership of their original works uploaded to the platform, subject to the non-exclusive distribution license set forth in our **User-Generated Content (UGC) & IP Policy**.

THE PLATFORM, ARCHIVES, EDITORIAL CONTENT, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, PLUGGEDSPACE LTD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT STREAMING SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE FEDERAL REPUBLIC OF NIGERIA AND APPLICABLE JURISDICTIONS: IN NO EVENT SHALL PLUGGEDSPACE LTD, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR CREATIVE PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DUOMACHINA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY THOUSAND NIGERIAN NAIRA (NGN 50,000) OR EQUIVALENT USD.

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the **laws of the Federal Republic of Nigeria**. - **Informal Resolution:** Before filing any formal claim, you agree to contact us at **legal@duomachina.com** and attempt to resolve the dispute informally for at least thirty (30) days. - **Arbitration:** Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or validity, shall be submitted to and finally resolved by arbitration administered by the **Lagos Regional Centre for International Commercial Arbitration (LRCICA)** under its Arbitration Rules. The place of arbitration shall be Lagos, Nigeria, and proceedings conducted in English. - **Consumer Protections:** Nothing in this section shall deprive consumers residing in jurisdictions with mandatory consumer protection laws (such as the UK, EU, or US) of their statutory protections that cannot be waived by agreement.

We reserve the right to revise these Terms at any time to reflect legislative updates, platform expansions, or new service offerings. We will provide notice of material modifications by updating the "Last Updated" date and posting a prominent notification on the Platform. Your continued use after the effective date constitutes acceptance. We may suspend or terminate your account immediately if you breach these Terms, violate intellectual property rights, or engage in behavior harmful to our community.
